1. Scope of Services
DynamicSource provides IT consulting, Microsoft cloud solutions, implementation, support, and related professional services. All work is delivered according to the agreed‑upon project scope, timeline, and deliverables.
2. Client Responsibilities
Clients must provide accurate information, timely access to systems, and necessary approvals to allow DynamicSource to perform services effectively. Delays in client input may impact timelines.
3. Fees & Payment
Pricing is based on the proposal or service agreement. Invoices are due within the specified payment terms. Additional work outside the original scope may incur extra fees.
4. Intellectual Property
DynamicSource retains ownership of its methodologies, tools, templates, and proprietary materials. Clients own the final deliverables created specifically for their business unless otherwise stated.
5. Confidentiality
Both parties agree to protect confidential information shared during the engagement. Data will not be disclosed to third parties without permission, except where required by law.
6. Data Security
DynamicSource follows industry‑standard security practices but is not responsible for security breaches caused by client systems, third‑party platforms, or external factors outside its control.
7. Warranties & Limitations
Services are provided on a best‑effort, professional basis. DynamicSource does not guarantee specific business outcomes and is not liable for indirect, incidental, or consequential damages.
8. Third‑Party Services
Projects may involve Microsoft or other third‑party platforms. Clients are responsible for their own licensing, subscriptions, and compliance with third‑party terms.
9. Termination
Either party may terminate the agreement with written notice. Clients are responsible for payment of all completed work and any non‑cancelable commitments.
10. Governing Law
The agreement is governed by the laws of the applicable state or region where DynamicSource operates, unless otherwise specified in the contract.
